1. Acceptance of Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Talisman Cloud Inc. (operating as Talisman Platform) ("Company," "we," "us," or "our").

These Terms govern your access to and use of our websites, including but not limited to:

  • https://talismancloud.io/

(collectively referred to as the "Site" or "Sites") and any related services, software, or content provided by us.

By accessing or using any of these Sites, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must strictly stop using the Sites and Services.

2. Services and Software

Talisman Cloud Inc. provides software solutions for enterprise integration, including:

  1. Open Source Components: Certain software available through our Site, such as Apache Camel Karavan, is distributed under the Apache License 2.0.

    • For a complete list of third-party software and licenses used in our ecosystem, please refer to Third-Party Software.
    • Your use of such open-source software is governed by the applicable open-source license terms, not strictly by these Terms.

  2. Commercial Software (Talisman Platform): The Talisman Platform and associated accelerators are proprietary software.

    • Access to and use of these Commercial products are governed by the Talisman Platform License and/or a separate Master Services Agreement (MSA) executed between you and Talisman Cloud Inc.

In the event of a conflict between these Terms and a separate Master Services Agreement or Talisman Platform License, the terms of the Master Services Agreement/Talisman Platform License shall prevail regarding the Commercial Software.

3. Intellectual Property Rights

A. Ownership

The Site and its original content, features, and functionality are owned by Talisman Cloud Inc. and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

B. Trademarks

  • "Talisman Platform" and "Talisman Cloud" are trademarks of Talisman Cloud Inc.
  • Apache®, Apache Camel®, Apache Camel Karavan®, and the camel logos are trademarks of the Apache Software Foundation. We use these marks for identification purposes only, and no endorsement or affiliation is implied unless explicitly stated.

C. Restrictions

Except as explicitly permitted by the applicable Open Source license or a separate commercial agreement, you may not:

  • Reverse engineer, decompile, or disassemble the proprietary portions of the Site or Services.
  • Reproduce, distribute, or create derivative works of our proprietary content without express written permission.
  • Use any automated system (robots, spiders) to access the Site for data scraping purposes.

4. User Obligations

By using the Site, you represent and warrant that:

  1. You have the legal capacity to enter into these Terms.
  2. You will not use the Site for any unlawful purpose or in violation of any applicable local, state, national, or international law.
  3. You will not attempt to compromise the security or integrity of the Site's computing systems or networks.

5. Disclaimers

THE SITE AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.

TO THE FULLEST EXTENT PERMITTED BY LAW, TALISMAN CLOUD INC. DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND DATA ACCURACY.

WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED. ANY MATERIAL DOWNLOADED FROM THE SITE IS DONE AT YOUR OWN RISK.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TALISMAN CLOUD INC., ITS DIRECTORS, EMPLOYEES, PARTNERS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  1. YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SITE;
  2. ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SITE;
  3. ANY CONTENT OBTAINED FROM THE SITE; AND
  4. UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

Our Site may contain links to third-party websites (e.g., GitHub, LinkedIn, Apache Software Foundation) that are not owned or controlled by Talisman Cloud Inc. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites. You acknowledge and agree that we shall not be responsible for any damage or loss caused by your use of any such third-party services.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to its conflict of law provisions.

Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or provincial courts located in Montreal, Quebec, and the parties hereby irrevocably consent to the personal jurisdiction and venue therein.

9. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will make reasonable efforts to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Site after those revisions become effective, you agree to be bound by the revised terms.
